VINDICATED YET AGAIN! Versarien – dire trading update, share consolidation needed ahead of yet another bailout placing required to stave off insolvency

Today’s dire trading update from Versarien (VRS) has managed to hammer the share price down a further 50%. The shares are now. At 0.15p, down by more than 99.9% in just five years. Telit - as we often predicted this is the day the disaster unfolded, but can the CEO explain his £24m share sale?

I am not sure if Neil Woodford had a big stake but Telit Communications (TCM) ticked all the other red flag boxes for AIM casino disasters waiting to happen. The Camkids FRAUD – An Open Letter to Cairn Financial, Beaufort and AIM Regulation – suspend shares in Jiasen NOW!

Earlier today we demonstrated quite clearly (HERE) why Camkids (CAMK) has committed accounting fraud and why the statement of yesterday just does not add up. We have been saying that this company is a fraud for months and months and that is now clear to all. The local auditors of Camkids and the now delisted fraud Naibu acted for two other AIM stocks, one of which is Jiasen (JSI). It is also a fraud and we call for an immediate suspension of its shares as well.

AIM is owned by the London Stock Exchange and regards itself as the junior market for the world. Patagonia’s Marc Sale – Ben Turney is wrong: he should never sit on an AIM board again

Ben Turney has just argued HERE that Marc Sale, the former Technical Director of Patagonia Gold (PGD) - who quit yesterday 24 hours after admitting to 17 undeclared share transactions- should be reappointed to the board. The Sheriff of AIM at the Naibu AGM – Post Shoot-out Video

Outside the palatial offices of City financiers Daniel Stewart I considered a quite bizarre AGM. The chairman had a few problems with his visa so could not be there leaving two hapless NEDs to field questions. I congratulate the Naibu (NBU) shareholders who attended – they seemed a well informed and perceptive bunch.

The auditors also failed to appear until the last minutes of the meeting. The hapless NEDS received some assistance from an old pal of mine, Simon “Wincey” Willis who is now lucky enough to be the Daniel Stewart analyst covering this fine enterprise. But even Wincey was floored by a few questions.

On balance I regard it as a clear victory for The Sheriff.

We are pleased that Angus Forrest has given his side of the story with regard to what went on at DLM in 2012 - HERE. Whilst we believe his explanations fall short of satisfactory, at least he has taken the time and trouble to respond to some of the questions raised but we still call for the noose. Answering his points in turn…

Many unfounded allegations have been made against me and my colleagues concerning our time at Digital Learning Marketplace (DLM).

These allegations have been made at the Investor Show and on the Share Prophets’ website by Nigel Somerville and Tom Winnifrith

I wish to clarify to the readers of Share Prophets that at no time did Mr Somerville or Mr Winnifrith contact or meet me to corroborate any of the allegations made against me or anyone else that has been accused of “malfeasance” across some 15 separate articles. As a result I would like to take this opportunity to publicly respond to as many allegations as I can detect from the various disjointed articles published on Share Prophets.

They are not unfounded. Much of what has been said is based on announcements and documents for which Mr Forrest was himself directly responsible. We note that certain allegations including the misleading CV Mr Forrest posted on the Shareholder Circular which saw him elected to the board of Tern (TERN) are not addressed. Why not? Once again I have written to Regulation today asking it to investigate why Fatty allowed Digital Learning Marketplace to publish as an RNS a total lie in August 2012. The standing of the Casino that you regulate, namely AIM, is dependent on Nomads who are responsible for the veracity of RNS releases ensuring they are true.  In that vein I bring you an allegation made by a fine upstanding citizen Mr Angus Forrest in which he explicitly states that Mr Roland “fatty” Cornish of Nomad Beaumont Cornish signed of an RNS knowing it to be untrue.

Naturally I believe every word that Mr Forrest says and so ask you to investigate this matter. For if this allegation is true AIM must surely withdraw the permissions of Beaumont Cornish to act as a Nomad lest its pristine reputation be in any way tainted.

Astar Minerals – The Liar Repenteth via RNS and with a personal apology: Vindicated the Sheriff moves on

Twice in the past couple of weeks I have accused AIM Cesspit listed Astar Minerals (ASTA) of issuing an RNS that was a lie - HERE and HERE. Twice I have been pilloried by Bulletin Board Morons. On Friday Astar ‘fessed up via RNS and its chairman Andrew Frangos called me to thank me for forcing his company to set the record straight. The sinner repenteth, I am vindicated. The Sheriff of AIM is a merciful man and the incident is at an end, I move on.

Astar’s crime was to claim that it had JVs with two Nogel companies which were operators of assets (May lie) or had relationships with big names like Apache (June lie). In fact, as I clearly demonstrated, both were shelf companies. The wider Nogel group seems a complex beast and within it there are entities which could have made such claims but Astar had signed no deal with them. To claim as much was, Frangos admitted to me, wrong.

Astar Minerals – Please Explain why you lied to investors: sell

On 27th May AIM Cesspit listed Astar Minerals (ASTA) lied to investors in an RNS. This overvalued POS Company is run by a bucket shop stockbroker and anyone buying the shares needs their head examined. What has Rob Terry got to hide from the press? It is reported that the Quindell (QPP) boss has banned the media from attending tomorrow’s AGM shoot-out. Why on earth would he do that? I showed my Contract Note. Quindell (QPP) knows that I am a shareholder but they would not let me in. The shares are in a nominee account. PR Bird Foxy Bex was there and she knew it was all kosher. Quindell: Cash, the UKLA and Looking ahead to a Shoot-out at the Not so OK AGM

The AGM of Quindell PLC (QPP) will be at 10 AM on Thursday 19th June and as a loyal shareholder ( as of Monday) I shall be attending and am planning my questions as of now. A few months ago this would have been a love-in with his fan club taking turns to praise CEO Rob Terry, I wonder if the mood may have changed. I still expect that The Sherif of AIM will be lynched by Bulletin Board morons as I ask my questions. On what you ask?

There is so much to ask about. Having proved that the RNS about the acquisition of a 19% stake in 360Globalnet issued in February 2012 was er….untrue (see HERE) there is a lot of mileage in asking about other aspects of the 360GN and QPS deals.  Maybe I will, maybe I will not.

Angus Forrest of Tern & Roland “Fatty” Cornish – New Documents arrive & the Noose is now Ready FOR YOU!

Oh dear.  Oh dear. If Angus Forrest, the chairman of AIM Cesspit listed Tern PLC (TERN) was having a bad weekend it just got a lot worse as a raft of new documents have fallen into my possession regarding events at DLM (where he was chair) back in July-September 2012. And as for DLM’s Nomad, Roland “fatty” Cornish? Roland, do you just ignore whistleblowers and allow your clients to lie to investors?  Fatty you are also deep in the merde now. I have a damning email which you do not wish to seepublished. Oh dear I am not the sort of guy not to publish am I?

But, for now, the Sheriff of AIM has had a good lunch with Mrs Sheriff and is off for an afternoon snooze. I will then start publishing extracts from the documents and emails one by one, demonstrating that Forrest LIED systematically on a range of issues in RNS statements signed off by Fatty. And that his co-director Bruce Leith was in on it all.

Well hang on fellas, are your long suffering UK stockholders on the AIM Cesspit about to get another kick in the Gonads?

Tangiers, you will remember placed stock with flippers and other City spivs at a discount to what mug punters were paying just a few days ago on 13 May – it raised $5 million. Its next trick was to promote an article via an ASX release by a tipsheet which made up bogus facts in a classic rampathon. Natch, many private investors rushed in overpaying for this POS stock as the shares raced ahead.  In promoting an article packed full of lies, Tangiers disgraced itself.

Tern PLC: Angus Forrest & Bruce Leith must go NOW – An Open Letter to Non Exec & Advisor

Nigel Somerville has earlier today (HERE) published the most extraordinary evidence of corporate malfeasance at what was Digital Learning and is now Alpha Returns (ARGP). The two directors exposed by Nigel now run Tern PLC (TERN), another sub scale investment company on the AIM Cesspit. I demand that they be fired NOW!

The FCA and other watchdogs are fully aware of the evidence that Nigel has gathered and investigations are underway. The Non Exec at Tern Laurence Read is an honourable guy and he could choose to wait for the official regulators to act. However the evidence is now out there in the public domain. The Sheriff of AIM has a noose at hand and suggests that Read and Nomad John Wakefield of WH Ireland use it. Forrest and Leith must go NOW!

AIM Regulation formally asked to investigate Beaumont Cornish & "Fatty"

We seem to be having a bit of a run in with Roland “Fatty” Cornish of Nominated Advisor Beaumont Cornish. First there was the little matter of New World Oil & Gas – see HERE.  Now we come to events at what is now Alpha Returns (ARGP) and matters from 2012 revealed by Nigel Somerville earlier today HERE

All in all it looks as if Fatty is making a strong late run for the AIM Cesspit 2014 advisor of the year award judged by The Sheriff of AIM, details of which can be found HERE.

But there are other strong contenders and so pro tem I have formally asked the AIM Regulation Team to investigate the events of August and September 2012 and to establish what verification fatty undertook on statements going out in his name. My letter follows.

It was 24 months ago last week but looking forward is far more fun!

This morning www.TomWinnifrith.com went down. Uh oh…apologies all round, we forgot to renew the domain name! Apologies for that, we are two years old today. It is a week of anniversaries and look backs. On 18th May I “parted company” with Rivington, the company I founded as an employee. Rivington said that it had issued me a 24 month rolling contract as an advisor to t1ps. That was of course not true and I was on my way.

Nighthawk & its hidden legal case – how does it define insignificant?

Earlier today I revealed how Nighthawk Energy (HAWK) was served with papers for a potentially large legal claim by its former business partner Running Foxes on 29th April but had not bothered to tell shareholders. Nighthawk has responded but its statement is er… “interesting.” I have now spoken to Running Foxes. Ho. Ho.

My point here is that Nighthawk should as an AIM listed company fessed up to shareholders on April 29 with an RNS admitting that the claim had been made. It could have described it as a joke at that point, whatever. The point is it should have been open. It was not.

Nighthawk Energy – Why isn’t it telling shareholders about the big US law suit it faces?

And today’s star turn on the AIM Cesspit is Nighthawk Energy (HAWK) which was served with papers for a major law suit on April 29th. Surely under AIM rules it should have fessed up to shareholders even if it thought the case was without merit? Fear not, Nighthawk may not want to issue an RNS but the Sheriff of AIM is here to help.

The Sort of Director who does not get it, who wants only upside risk

I wanna tell you a story…it is a true story but not from the great Max Bygraves. It is from me and from a company meeting a while back and it is why I almost despair of some on public markets.

I shall not name the company but it is trying to raise a couple of million and for some reason I was at the presentation the other week. The two key men sounded pretty impressive and handled questions about strategy, assets and that sort of matter pretty well. I asked about pay and there was no troughing going on.

And so I asked how much cash they had invested in the company. Er…..

One fellow said he had vended in the odd asset – which did not exactly seem core going forward. The other said he had been granted options. “So to answer my question you have not actually stuck a penny of your own cash in have you?” Er, um, ah, but we could be earning far more elsewhere, blah, blah, blah.

I persisted. So how much are you putting into the placing then? I have options said one. The other said that if there are any shares left he might take a few.

As I explained that options were a one way bet it was clear that my questioning was not going down well. The look on their faces suggested that I had asked “how many time have you masturbated this week?” But that is not what I asked.

As The Sheriff of AIM, I merely tried to establish whether their interests were aligned

Trusting in AIM?

I think that you must be aware by now that I have major concerns about the way that AIM operates. The way that money is raised is bad enough in that it creates two classes of investors. The amount of shareholders cash spent on share promotion as opposed to creating value is alarming. Bit my real gripe is that companies appear able to tell outright lies and get away with it.

I have fought a fairly high profile battle against companies that lie and those that over-egg, over promote. I was described as “the Sherriff of AIM” the other day by an investment banker.

The results of trying to curb some of the Wild West excesses of AIM have been everything from a libel writ to death threats and an awful lot in between. However I sense that while the level of personal abuse and attacks against me and my business has never been higher, the tide is turning.
